Welcome to Zelio AI, a platform that provides custom AI-powered customer service chatbots. These Terms of Service (“Terms”) govern your access to and use of the Zelio AI website, services, and software (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

2. Definitions

• “Client” refers to the individual or organization purchasing and using Zelio AI's Services.
• “AI Chatbot” refers to a chatbot developed and maintained by Zelio AI using natural language processing technologies.
• “User” refers to any individual who interacts with the AI Chatbot via your website or platform.
• “Content” refers to all data, messages, training materials, and user inputs handled by the chatbot.

3. Services Provided

Zelio AI offers the creation, customization, deployment, and hosting of AI customer service chatbots. Chatbots may contain custom User knowledge that the client inputs through embedded context aware responses. The Service may include integration into your existing platforms via a snippet or API.

4. Client Data and Privacy

You agree to provide only lawful, non-infringing content and confirm that you have all rights and permissions to input relevant contextual data to the chatbot which it can then use for responses that users of clients may see.

Zelio AI will not share your data with third parties without consent, except as required by law. Since Zelio AI is an LLM powered tool, Zelio AI cannot and will not take responsibility for leakages of data due to issues with the LLM API source itself, whether that be the LLM API source company using the information to train future models, or publicizes any fragment of your data.

5. User Content and Responsibility

You are solely responsible for:

• Ensuring the content users submit to your chatbot does not violate any laws
• Monitoring the chatbot’s use for inappropriate or unauthorized behavior
• Complying with any applicable regulations, including GDPR, CCPA, or industry-specific rules

6. Acceptable Use Policy

You may not use the Service to:

• Generate or disseminate hate speech, abusive content, or misinformation
• Assist in unlawful activities
• Train or extract Zelio AI models for external or competitive use
• Attempt to reverse engineer or replicate our technology

7. AI Limitations and Disclaimer

While we strive for high performance, Zelio AI’s AI may occasionally generate incorrect, misleading, or offensive outputs. You acknowledge that:

• The chatbot is probabilistic and may not reflect human reasoning or intent.
• Zelio AI makes no guarantees regarding the accuracy, completeness, or reliability of any chatbot response.

8. Intellectual Property

• You retain ownership of your provided data and content.
• Zelio AI retains ownership of its platform, AI models, and all associated intellectual property.
• Custom chatbot configurations may be reused internally to improve service quality unless explicitly agreed otherwise in writing.

9. Subscription and Payment Terms

• Subscriptions are billed monthly in advance.
• All fees are non-refundable, except as required by law and in special cases where we deem the services to have not attained the results specified, in which case in our sole discretion give a refund.
• Failure to pay may result in suspension or termination of access to your chatbot.
• You are responsible for keeping your billing information up to date.

10. Termination

We reserve the right to suspend or terminate your access to the Services if:

• You breach these Terms
• Payment fails after repeated attempts
• You misuse or abuse the platform

Upon termination, your chatbot and all associated data may be deleted after 30 days.

11. Limitation of Liability

To the fullest extent permitted by law, Zelio AI is not liable for:

• Indirect or consequential damages
• Loss of revenue, customers, or data
• Any damages resulting from chatbot responses or failures

Our total liability is limited to the amount paid by you in the last 12 months of service.

12. Indemnification

You agree to indemnify and hold harmless Zelio AI from any claims, damages, or losses related to:

• Your use of the chatbot
• Violations of law or rights of others
• Data or content you provide to train or operate the chatbot

13. Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent court in Amsterdam, the Netherlands.

14. Changes to These Terms

We may update these Terms at any time. Changes will be posted on this page and take effect immediately. Your continued use of the Services after changes are posted indicates your acceptance of the updated Terms.

Refund Policy

We offer a 14-day money-back guarantee for all new subscriptions. If you're not satisfied with the service within the first 14 days, you can request a full refund—no questions asked.

After 14 days, all payments are non-refundable, including upgrades, downgrades, and renewals. You can cancel your subscription at any time to prevent future billing.
